Introduction

About Us

  • We are Wishew Ltd ("we", "us" or "Wishew"), and we are pleased to welcome you to Wishew, the social platform that we have developed, operate and maintain.
  • Wishew is a social platform designed to help people pursue personal goals, document their progress, connect with other people and receive support from the community.

Users can publish personal Goals, share their progress through public Updates and interact with other members through comments, advice, contacts, skills, motivation and other forms of community support.

Eligible Users may also activate functionality allowing other Users to make voluntary financial Support Payments toward a personal Goal, subject to these Terms, Platform eligibility requirements and applicable payment service provider requirements.

Purpose of these Terms

These Terms and Conditions of Use ("Terms") describe the rights and responsibilities that apply to a User ("you" or "your") and govern your access to and use of the Platform, including all services and Content available on the website www.wishew.com (the "Website"), the Wishew mobile application (the "App"), and related technologies (together, the "Platform").

Acceptance of Terms

By creating an Account, accessing or using Wishew, you agree to be bound by these Terms and the Privacy Policy.

If you do not agree to these Terms, you must not use the Platform.

Updates to the Terms

Wishew may update these Terms from time to time.

Changes will become effective upon publication or on such later date as Wishew may specify, subject to any notice requirements imposed by applicable law.

Wishew Policies

Your use of Wishew is also subject to our Privacy Policy and any other policies expressly incorporated into these Terms, including our Acceptable Use Policy.

Definitions

Capitalised Terms

For the purposes of these Terms:

"Account" means an account registered by a User on the Platform.

"Content" means text, images, videos, audio, comments, Updates and all other forms of media, information or materials published or otherwise made available by Users through the Platform.

"Goal" or "Wish" means a personal objective published by a User on the Platform. A Goal does not, by itself, constitute a request for financial support or create any obligation on another User to provide financial or other support.

"Journey" means the public record of a Goal over time, including Updates published in connection with that Goal.

"Update" means Content published by a User as part of a Journey and may include a Progress Update, Milestone or Challenge.

"Progress Update" means an Update describing an ordinary step or development toward a Goal.

"Milestone" means an Update describing a significant point reached in connection with a Goal.

"Challenge" means an Update describing an obstacle, difficulty or setback encountered in connection with a Goal.

"Looking For" means an optional indication associated with an Update through which a User may identify a type of non-financial community assistance they are seeking, including advice, contacts, skills or motivation.

"Reputation Points" or "RP" means a non-monetary and non-transferable score reflecting contributions made by a User to the Wishew community.

"Funds Function" means Platform functionality through which an eligible Wisher may become capable of receiving voluntary Support Payments in connection with a Goal.

"Support Payment" means a voluntary monetary contribution made by a User to an eligible Wisher in support of the Wisher's personal Goal.

"Supporter" means a User who makes a Support Payment.

"Wisher" means a User who publishes a Goal and who may, where eligible, activate the Funds Function in connection with that Goal.

"Payment Service Provider" means a third-party provider used to facilitate payment, payout, identity-verification or related payment services made available through the Platform.

"Data Protection Legislation" means applicable laws relating to the use and protection of personal information and privacy, including, where applicable, the GDPR, UK GDPR, UK Data Protection Act 2018, applicable electronic communications legislation, the California Consumer Privacy Act as amended by the California Privacy Rights Act, and any legislation implementing, replacing, amending or consolidating them.

"GDPR" means Regulation (EU) 2016/679, to the extent applicable.

"UK GDPR" means Regulation (EU) 2016/679 as incorporated into UK domestic law and amended from time to time.

"Intellectual Property Rights" means patents, copyright and related rights, moral rights, trademarks, service marks, business names, domain names, goodwill, design rights, software and database rights, confidential information, trade secrets and all other intellectual property rights, whether registered or unregistered.

"Platform" has the meaning given in Section 1.2.

"User" means any person who registers for and/or accesses the Platform.

Services Offered by Wishew

Services Description

Wishew enables Users to:

  • create an Account;
  • publish Goals;
  • create and maintain Journeys documenting their progress;
  • publish Progress Updates, Milestones and Challenges;
  • interact with other Users through comments, likes, replies and other social features;
  • indicate that they are Looking For advice, contacts, skills or motivation;
  • contribute to other members of the community;
  • earn Reputation Points in accordance with Platform rules; and
  • where eligible, activate the Funds Function and receive voluntary Support Payments toward a Goal.

The principal purpose of Wishew is to provide a social environment in which Users can pursue and document personal Goals and support one another.

Public and Free Content

Goals, Journeys and Updates are publicly available in accordance with the visibility functionality made available through the Platform.

Access to Content is not conditional upon making a Support Payment.

Making a Support Payment does not unlock Content, digital goods, subscriber-only material or privileged access to a Wisher's Content.

Voluntary Support Payments

Support Payments are entirely voluntary.

Users are free to decide whether to make a Support Payment and, subject to applicable limits, how much to contribute.

No User is required to make a Support Payment in order to access ordinary social features or publicly available Content on Wishew.

Nature of the Platform

Wishew does not operate as a marketplace for the sale of goods or services between Users.

Support Payments do not constitute purchases of goods, services or Content from the Wisher.

Unless expressly introduced as a separate service subject to additional terms, Wishew does not provide:

  • paid subscriptions to User Content;
  • paid Content tiers;
  • pre-sales;
  • rewards in exchange for Support Payments;
  • investment opportunities;
  • lending;
  • equity interests; or
  • financial returns.

Support Payments are voluntary contributions toward personal Goals and are governed by these Terms.

Your Account and Responsibilities

Lawful Use

You must not use the Platform for any purpose that is unlawful or prohibited by these Terms or Wishew's policies.

Account Information

When creating or maintaining an Account, you must provide accurate, truthful, complete and current information.

You must promptly update information where relevant circumstances change.

Age Requirements

You must be at least 18 years old, or such greater age as may be required under applicable law, to create an Account, make a Support Payment, activate the Funds Function or withdraw funds.

Account Security

You are responsible for activities occurring through your Account and for maintaining the confidentiality and security of your Account credentials.

You must notify Wishew promptly if you know or suspect that your Account has been compromised or accessed without authorization.

Account Restrictions and Closure

You may close your Account at any time, subject to outstanding transactions, investigations, disputes or other obligations.

Wishew may restrict, suspend or close an Account that violates these Terms, Wishew policies, applicable law or Payment Service Provider requirements, or where reasonably necessary to protect Users, Wishew or the integrity of the Platform.

Goals, Journeys and Content

Publishing Goals and Updates

Users may publish Goals, Journeys, Updates, comments and other Content provided that such Content complies with these Terms and Platform rules.

A Goal represents a personal objective selected and described by the User.

Publishing a Goal does not automatically enable the User to receive Support Payments.

Content Rules and Prohibited Activities

Users must not publish Content, create Goals or use the Platform to facilitate or promote:

  • illegal or fraudulent activity;
  • scams or pyramid schemes;
  • dangerous or unlawful activities;
  • unlawful weapons, controlled substances or counterfeit products;
  • sexually explicit or pornographic content;
  • hate, unlawful discrimination or violence;
  • violent extremism or terrorism;
  • political fundraising where prohibited by Wishew;
  • requests for money to repay personal debts;
  • tax evasion;
  • money laundering;
  • terrorist financing;
  • sanctions evasion;
  • fraudulent or misleading fundraising;
  • unlawful financial services;
  • investment, equity or lending arrangements;
  • unauthorized money transmission;
  • activity prohibited by an applicable Payment Service Provider;
  • any activity prohibited by the Acceptable Use Policy; or
  • any activity otherwise prohibited by applicable law.

Users must also not:

  • use bots or automated systems to artificially increase interactions, RP or visibility;
  • manipulate or attempt to manipulate Reputation Points;
  • collude with other Users to artificially generate RP;
  • create or control multiple Accounts to circumvent Platform restrictions;
  • use Support Payments to artificially generate RP;
  • make sham, reciprocal or circular Support Payments for the purpose of circumventing Platform controls;
  • scrape Platform data without authorization;
  • attempt unauthorized security testing or hacking;
  • disguise or transfer proceeds of unlawful activity; or
  • circumvent identity-verification, sanctions, fraud, transaction or eligibility controls.

Wishew may remove Content, restrict functionality, suspend Accounts or take other appropriate action where these requirements are violated.

Permitted Goals

Subject to these Terms and the Acceptable Use Policy, Users may publish personal Goals concerning matters including:

  • personal development and experiences;
  • education and learning;
  • travel and cultural experiences;
  • creative projects;
  • professional development;
  • entrepreneurial projects;
  • hobbies;
  • sport and fitness;
  • lifestyle and wellbeing; and
  • aspirational purchases or experiences.

Restricted Goals and Uses of Support Payments

Wishew may prohibit or restrict Goals or Support Payments relating to categories that create regulatory, legal, Payment Service Provider, fraud, financial-crime or safety concerns.

This may include, without limitation:

  • medical or life-saving fundraising;
  • emergency humanitarian fundraising;
  • fundraising on behalf of charities unless specifically authorized by Wishew;
  • debt repayment;
  • bankruptcy or severe financial hardship;
  • illegal goods or services;
  • investment opportunities;
  • lending or credit;
  • securities;
  • gambling;
  • regulated financial products or services;
  • weapons;
  • controlled substances;
  • sanctions-related activity; and
  • other activities identified in the Acceptable Use Policy.

Wishew may update these restrictions from time to time.

Content Usage Rights

By publishing Content on the Platform, you grant Wishew a non-exclusive, transferable, sub-licensable, royalty-free, worldwide licence to host, store, reproduce, display, publish, distribute, promote, translate, reformat and otherwise use such Content as reasonably necessary to operate, provide, promote and improve Wishew.

Wishew may use Content in Platform promotions, social media, advertising and other promotional materials, subject to applicable law.

Users retain ownership of their Content and associated Intellectual Property Rights.

User Responsibility for Content

Users are solely responsible for Content they publish.

By publishing Content, you represent and warrant that:

  • the information provided is truthful and not intentionally misleading;
  • you have the rights necessary to publish the Content;
  • the Content does not unlawfully infringe third-party rights;
  • the Content complies with applicable law; and
  • where the Content relates to a Goal eligible for Support Payments, you are not materially misrepresenting the nature, beneficiary or purpose of that Goal.

Wishew does not guarantee the accuracy, truthfulness or reliability of User Content.

Content Removal

Wishew may review, restrict, disable or remove Content that violates these Terms, the Acceptable Use Policy, applicable law or applicable Payment Service Provider requirements.

Reputation Points and Eligibility for Support Payments

Nature of Reputation Points

Reputation Points are a non-monetary measure of a User's contributions to the Wishew community.

RP:

  • has no monetary value;
  • cannot be purchased;
  • cannot be sold;
  • cannot be transferred;
  • cannot be traded;
  • cannot be redeemed;
  • cannot be exchanged for money, goods or services;
  • cannot be withdrawn;
  • does not constitute stored value;
  • does not represent a financial balance;
  • does not create a debt owed by Wishew; and
  • does not represent ownership, equity or any financial claim against Wishew or another User.

Earning Reputation Points

RP may be awarded when another User recognises a contribution as helpful or through other qualifying community interactions established by Wishew.

Qualifying interactions may include making a Support Payment.

A User cannot directly award RP to themselves.

Wishew may establish, modify or discontinue methods through which RP is calculated or awarded to protect Platform integrity and prevent manipulation.

Funds Function Eligibility

A Wisher must meet Wishew's applicable Reputation Points threshold before the Funds Function becomes available.

At the date of these Terms, the applicable threshold is 300 RP.

Meeting the RP threshold does not create an unconditional right to activate the Funds Function or receive Support Payments.

Eligibility may additionally depend upon:

  • successful identity verification;
  • Payment Service Provider onboarding or approval;
  • sanctions and compliance screening;
  • geographic availability;
  • fraud and risk assessments;
  • Account standing; and
  • compliance with these Terms and the Acceptable Use Policy.

Wishew may modify the applicable RP threshold or other eligibility criteria where reasonably necessary for fraud prevention, compliance, Platform safety or product operation.

Anti-Manipulation

Users must not manipulate or attempt to manipulate RP or Funds Function eligibility.

Wishew may remove RP, disable the Funds Function, restrict transactions or withdrawals, suspend Accounts or take other action where it reasonably suspects manipulation, collusion, fraudulent activity or circumvention of eligibility requirements.

Organizer and Beneficiary

Unless expressly approved by Wishew, a Wisher may activate the Funds Function only in connection with their own Goal and must be the intended beneficiary of Support Payments received in connection with that Goal.

Users may not use Wishew to collect, receive, transmit or distribute funds on behalf of unrelated third parties.

Users may not use the Platform as a money transmission, remittance, peer-to-peer payment or stored-value service.

Wishew does not provide functionality intended to enable Users to transfer funds between one another independently of a permitted Support Payment associated with an eligible Goal.

Support Payments

Nature of Support Payments

A Support Payment is a voluntary contribution by a Supporter toward the personal Goal described by a Wisher.

A Support Payment:

  • is not a purchase of Content;
  • is not payment for access to Content;
  • is not a subscription;
  • is not a pre-sale;
  • is not a loan;
  • is not an investment;
  • does not purchase equity or ownership;
  • does not create a right to repayment;
  • does not entitle the Supporter to financial returns; and
  • does not create an obligation on the Wisher to provide goods, services, rewards, perks or exclusive Content.

The Wisher does not enter into a contractual obligation with the Supporter guaranteeing that the Goal will be achieved.

No Consideration or Reward

A Supporter receives no goods, services, rewards, perks, privileged access or exclusive Content in exchange for a Support Payment.

Where a Support Payment results in RP being awarded to the Supporter, such RP remains subject to Section 6 and has no monetary or redeemable value.

Use of Support Payments

Support Payments are made in support of the personal Goal described by the Wisher.

Unless required by applicable law or expressly stated otherwise, Wishew does not guarantee that:

  • a Goal will be achieved;
  • a specific amount will be raised;
  • Support Payments will be spent in a particular manner; or
  • circumstances affecting the Wisher or Goal will not change.

This does not permit a Wisher to obtain Support Payments through fraud, deception or material misrepresentation.

Active Funds Function

Wishew may limit the number of Goals for which a User can simultaneously receive Support Payments.

Unless otherwise specified by Wishew, each Account may have only one Goal with an active Funds Function at a time.

A Wisher may close the Funds Function associated with their Goal.

Once closed, Users will no longer be able to make new Support Payments to that Goal. Amounts already received may remain available for withdrawal subject to these Terms, applicable Payment Service Provider requirements, disputes, chargebacks and compliance reviews.

Accuracy of Goal Information

A Wisher must provide accurate, truthful, complete and non-misleading information concerning the nature and purpose of any Goal for which the Funds Function is activated.

A Wisher must not:

  • materially misrepresent the nature or purpose of a Goal;
  • obtain Support Payments through deception, fraud or material omission;
  • misrepresent their identity or relationship to a Goal;
  • use Support Payments for an unlawful or prohibited purpose; or
  • use the Funds Function to circumvent these Terms, the Acceptable Use Policy, applicable law or Payment Service Provider requirements.

Wishew does not routinely verify or supervise every expenditure made by a Wisher following payout and does not guarantee that Support Payments will ultimately be used in the precise manner anticipated by a Supporter.

Suspected fraud, material misrepresentation, misuse or prohibited activity may result in investigation, restriction of the Funds Function, suspension of withdrawals, refunds or reversals where appropriate, removal of Content or Account termination.

Refunds

General Rule

Support Payments are voluntary and generally final and non-refundable, except where required by law or where Wishew determines that a refund is appropriate under these Terms.

Refund Grounds

A Supporter may request a refund where:

  • a Goal was created or operated fraudulently;
  • the Wisher materially misrepresented the Goal;
  • the Support Payment was associated with unlawful activity;
  • the Goal materially violated these Terms or the Acceptable Use Policy; or
  • a refund is otherwise required by applicable law.

Refund Review

Wishew may investigate refund requests and request additional information or evidence from the Supporter or Wisher.

Submission of a refund request does not guarantee approval.

Refund Exclusions

Unless required by law, refunds will generally not be provided solely because:

  • the Goal was not achieved;
  • the Wisher changed their plans;
  • the Supporter changed their mind;
  • the Goal did not reach its intended amount;
  • the Supporter disagrees with a lawful personal decision made by the Wisher; or
  • the Support Payment has already been subject to a chargeback or payment dispute.

Refund Procedure

Refund requests must be submitted to compliance@wishew.com and may require:

  • full legal name;
  • country of residence;
  • Account email;
  • identification of the relevant Goal and Support Payment;
  • explanation of the refund request; and
  • supporting evidence.

Users must reasonably cooperate with investigations concerning suspected fraud or misuse.

Payments, Fees and Withdrawals

Third-Party Payment Service Providers

Wishew is not a bank and does not itself provide banking, card acquiring, money transmission or payment-processing services.

Payment functionality made available through the Platform is facilitated by one or more third-party Payment Service Providers.

The applicable Payment Service Provider, payment flow and available payment methods may vary depending on jurisdiction, transaction type, User eligibility and other factors.

Users may be required to enter into a direct contractual relationship with, accept the terms of, or provide information directly or indirectly to an applicable Payment Service Provider.

Where required by an applicable Payment Service Provider, additional provider terms, service agreements, policies or disclosures may apply to a User's use of payment functionality.

Payment Service Providers may perform or require identity verification, fraud prevention, sanctions screening, transaction monitoring, payment authorization, settlement, reserves, chargeback management and other risk or compliance controls.

Wishew may add, replace or discontinue Payment Service Providers.

Platform Fee

Wishew charges a Platform fee in connection with Support Payments.

Unless otherwise disclosed through the Platform, the Platform fee is 10%.

The applicable Platform fee will be disclosed to Users where required before the relevant transaction or withdrawal.

Amounts otherwise available to the Wisher may also be subject to payment-processing costs, refunds, reversals, chargebacks, reserves, currency conversion, compliance restrictions or other permitted deductions.

Third-Party Costs

Additional charges may apply, including:

  • payment-processing fees;
  • banking fees;
  • currency-conversion fees; and
  • other charges imposed by Payment Service Providers or financial institutions.

Wishew does not control fees independently imposed by third parties.

Processing and Withdrawal Times

Funds may be withdrawn only once they are available for payout and the Wisher has satisfied all applicable identity verification, compliance and payment requirements.

The availability of funds for withdrawal may be subject to settlement periods, processing times, reserves, transaction reviews or other applicable restrictions.

Withdrawal and settlement times depend upon the relevant Payment Service Provider, financial institution, payment method and applicable compliance requirements.

Processing or withdrawals may be delayed or restricted due to:

  • identity verification or re-verification;
  • fraud or transaction reviews;
  • sanctions screening;
  • transaction monitoring;
  • regulatory or compliance requirements;
  • payment disputes or chargebacks;
  • reserves or settlement requirements;
  • banking or payment-processing procedures; or
  • other legitimate risk or compliance reviews.

Wishew does not guarantee that funds will become available for withdrawal within a specific period.

Identity Verification and Compliance Information

Users may be required to successfully complete identity verification and other compliance checks before accessing the Funds Function, receiving Support Payments, withdrawing funds or accessing other specified Platform functionality.

Wishew and/or its Payment Service Providers may require Users to provide information or documentation concerning, where appropriate:

  • identity;
  • age;
  • residential address;
  • nationality or country of residence;
  • ownership or control of an Account;
  • payment method ownership;
  • bank account ownership;
  • source of funds;
  • source of wealth where appropriate;
  • purpose of a transaction;
  • nature or purpose of a Goal; or
  • other information reasonably required for fraud prevention, sanctions screening, transaction monitoring, payment processing, risk management or compliance with applicable law.

Users agree to provide accurate, complete and current information and reasonably cooperate with verification, re-verification and compliance requests.

Failure to provide requested information, inability to complete verification, or identification of a compliance or risk concern may result in transactions being declined or delayed, withdrawals being restricted, the Funds Function being disabled or the Account being suspended or terminated.

Blocked Funds, Reversals and Chargebacks

Wishew and/or its Payment Service Providers may delay, restrict, suspend, reverse or cancel transactions or withdrawals where reasonably required in connection with:

  • suspected fraud;
  • unauthorized transactions;
  • chargebacks;
  • sanctions;
  • money laundering or terrorist-financing concerns;
  • identity verification;
  • regulatory requirements;
  • Payment Service Provider requirements;
  • violations of these Terms or the Acceptable Use Policy;
  • investigations; or
  • requests from competent authorities.

Users may be required to provide additional information concerning their identity, payment method, source of funds, transaction activity or Goal.

Transaction and Risk Limits

Wishew and/or its Payment Service Providers may establish, apply or modify:

  • maximum or minimum Support Payment amounts;
  • transaction limits;
  • withdrawal limits;
  • daily, weekly or other cumulative limits;
  • transaction velocity limits;
  • geographic restrictions;
  • payment-method restrictions; and
  • other risk-based limits or controls.

Such limits may vary based on jurisdiction, Account history, verification status, transaction activity, fraud risk, Payment Service Provider requirements and applicable law.

Wishew may decline, delay or restrict a transaction, or require additional verification, where an applicable risk limit or control is triggered.

Geographic Availability, Sanctions and Restricted Jurisdictions

The Platform and its payment functionality may not be available in all countries or territories.

Users must not use Wishew to make, receive or facilitate Support Payments where doing so would violate applicable sanctions, trade restrictions, financial restrictions or other applicable laws.

Users must not knowingly make or receive a Support Payment for the direct or indirect benefit of a sanctioned or otherwise legally prohibited person, entity, organisation, country or territory.

Wishew and/or its Payment Service Providers may restrict, reject, suspend or terminate payment functionality based on:

  • a User's location or country of residence;
  • sanctions status;
  • applicable laws or regulatory requirements;
  • Payment Service Provider requirements;
  • fraud or financial-crime risk;
  • geographic availability; or
  • other legitimate compliance or risk considerations.

Content Moderation, Risk and Verification

Platform Monitoring

Wishew may use automated systems and human review to monitor Content and Platform activity for compliance, fraud prevention, safety, financial-crime prevention and enforcement purposes.

Wishew cannot guarantee that all prohibited Content or activity will be detected before publication or occurrence.

Reporting

Users may report Content, Goals or activity they believe violates these Terms or Platform policies.

Enforcement

Where reasonably appropriate, Wishew may:

  • issue warnings;
  • remove or restrict Content;
  • remove or adjust Reputation Points;
  • disable the Funds Function;
  • restrict Support Payments;
  • restrict or delay withdrawals;
  • require additional verification;
  • impose transaction limits;
  • temporarily suspend Accounts; or
  • permanently terminate Accounts.

Wishew may also cooperate with Payment Service Providers, competent authorities or law-enforcement agencies where required or permitted by applicable law.

Use of Artificial Intelligence

Use of Automated Systems

Wishew may use automated systems and artificial intelligence to:

  • analyse Content;
  • assist with moderation;
  • detect potentially prohibited, fraudulent or suspicious activity;
  • recommend Content;
  • personalise Platform experiences; and
  • support Platform safety and integrity.

Automated Decisions

Automated systems may make mistakes.

Where appropriate or required by applicable law, Users may contact Wishew regarding decisions materially affecting their Account.

Nothing in this Section limits rights available under applicable data-protection or consumer-protection law.

Limitation of Liability

Disclaimer of Warranties

To the fullest extent permitted by applicable law, Wishew is provided "as is" and "as available".

Wishew does not guarantee:

  • uninterrupted availability;
  • error-free operation;
  • absolute security;
  • achievement of any Goal;
  • accuracy of User Content;
  • availability of Support Payments;
  • continued eligibility for the Funds Function;
  • availability of any particular Payment Service Provider; or
  • the conduct of another User.

Limitation of Liability

To the fullest extent permitted by applicable law, Wishew and its affiliates will not be liable for indirect, incidental, consequential or economic losses arising from:

  • User misconduct;
  • fraud by other Users;
  • inaccurate or misleading User Content;
  • failure to achieve a Goal;
  • technical interruptions;
  • third-party payment services;
  • delayed, declined or failed payments;
  • Payment Service Provider decisions;
  • legitimate compliance, fraud-prevention or security restrictions; or
  • disputes between Users.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any liability that cannot lawfully be excluded or limited.

To the fullest extent permitted by applicable law, Wishew's aggregate liability arising out of or in connection with the Platform shall not exceed the total Platform Fees retained by Wishew in connection with the relevant User during the 12 months preceding the event giving rise to the claim.

Indemnification

To the fullest extent permitted by applicable law, Users agree to indemnify, defend and hold harmless Wishew and its affiliates, officers, employees, directors and agents from claims, losses, damages, liabilities and reasonable legal costs arising from:

  • Content published by the User;
  • fraudulent or materially misleading Goals;
  • unlawful or prohibited use of Support Payments;
  • violation of these Terms or the Acceptable Use Policy;
  • violation of applicable law;
  • infringement of third-party rights; or
  • disputes arising from the User's conduct.

Governing Law and Dispute Resolution

Governing Law

These Terms and disputes arising from or relating to them are governed by the laws of England and Wales, subject to mandatory rights that may apply to consumers under the laws of their country of residence.

Jurisdiction

Subject to mandatory consumer protections and applicable law, the courts of England and Wales shall have jurisdiction over disputes arising from these Terms.

Nothing in these Terms prevents a consumer from exercising any mandatory right to bring proceedings before a court or competent authority available under applicable law.

Disputes Between Users

Users are responsible for their interactions with other Users.

Wishew may, but is not required to, assist with or become involved in disputes between Users.

Changes to These Terms

Updates

Wishew may update these Terms from time to time.

Changes become effective upon publication or such later date as may be specified, subject to applicable legal requirements.

Acceptance of Changes

Continued use of the Platform following the effective date of updated Terms constitutes acceptance of those Terms to the extent permitted by applicable law.

Where applicable law requires additional notice or consent for a material change, Wishew will provide such notice or obtain such consent.

English Version Prevails

Wishew may provide translations of these Terms.

Where permitted by applicable law, the English version shall prevail in the event of a conflict or inconsistency.

Intellectual Property

Wishew Intellectual Property

All Platform Content other than User-generated Content, including software, graphics, logos, trademarks, designs, interfaces and underlying technology, belongs to Wishew, its affiliates or its licensors.

Unauthorized Use

Users may not copy, reproduce, modify, distribute, sell, license or otherwise exploit Wishew's Intellectual Property Rights except as expressly permitted by Wishew or applicable law.

Trademarks

The Wishew name, logo and associated trademarks and distinctive signs are protected.

Unauthorized use is prohibited.

Enforcement

Wishew may take appropriate action to protect its Intellectual Property Rights, including removing Content, suspending Accounts and pursuing available legal remedies.

Final Provisions

Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy and any additional terms expressly incorporated into them, constitute the agreement between the User and Wishew concerning use of the Platform.

Severability

If any provision of these Terms is held invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect.

No Waiver

Failure by Wishew to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

Contracting Entities

These Terms apply to Goals, Support Payments and other activity relating to the Wishew Platform.

Unless otherwise specified, Wishew Ltd shall be the contracting party.

For Users in the United States, Wishew may designate Wishew Inc as the contracting entity, including in connection with payment functionality made available to US Users.

Wishew may designate another Wishew group company as the contracting entity for particular jurisdictions or services where appropriate and will provide notice where required.

Third-Party Payment Terms

Where payment functionality is provided by a Payment Service Provider, additional terms, policies, service agreements and requirements of that provider may apply.

Users agree to comply with applicable Payment Service Provider requirements relating to payment functionality they use.

Nothing in these Terms is intended to override rights, obligations or restrictions imposed by applicable law or by a Payment Service Provider in connection with services it provides directly to a User.

Acceptable Use Policy

Use of the Platform, including Goals, the Funds Function and Support Payments, is subject to Wishew's Acceptable Use Policy ("AUP"), as updated from time to time.

The AUP identifies categories of prohibited and restricted activity, Content, Goals, Users and uses of Support Payments.

Users must comply with the AUP at all times.

Wishew may restrict, suspend or terminate Content, Goals, payment functionality or Accounts that violate the AUP.

Where an applicable Payment Service Provider imposes additional or more restrictive prohibited-business, acceptable-use or risk requirements, Wishew may apply those requirements to affected Users, Goals or transactions.

Assignment

Wishew may assign or transfer its rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, corporate reorganisation or sale of all or substantially all of the relevant business or assets, subject to applicable law.

Users may not assign or transfer their rights or obligations under these Terms without Wishew's prior written consent.
