1.1.1We are Wishew Ltd ("we", "us" or "Wishew"), and we are very pleased to welcome you to "Wishew", the social network that we have developed, operate and maintain.

1.1.2 Wishew is the first social network in the world designed to help you make friends and connect with people from every corner of the globe based on shared wishes, passions, and interests.

These Terms and Conditions of Use ("Terms") describe the rights and responsibilities that apply to a User ("you" or "your") and which govern your access to and use of the Platform (defined below), including your access to and use of all services and content available on the website www.wishew.com (the "Website"), the Wishew mobile app (the "App"), and related technologies (the Website and App together, the "Platform").

You are required to accept these Terms completely and, by accessing or using Wishew, you agree to be bound by these Terms and the Privacy Policy. If you do not agree, you should not use the Platform.

These Terms may be updated periodically. Changes will become effective upon publication. It is your responsibility to regularly review these Terms for updates.

Your use of Wishew is also subject to our Privacy Policy, which outlines how we collect and use your personal information and can be found here.

• "Account" means an account set up by a User on the Platform.
• "Content" means text, images, videos, audio, and all other forms of media published by Creators on the Platform and includes, for the avoidance of doubt all Wishes.
• "Support Payment" means financial support provided voluntarily by a Supporter to a Creator, in the form of monetary support payments.
• "Supporter" means a User who financially supports one or more Creators through monetary support payments.
• "Creator" means a User who creates and publishes Content which is made available for support from other Users.
• "Data Protection Legislation" means applicable laws relating to the use and protection of personal information, and/or to privacy, including the privacy of electronic communications, which are applicable to Wishew, including, the GDPR, Directive 2002/58/EC, UK Data Protection Act 2018, the Privacy and Electronic Communications (EC Directive) Regulations 2003, the California Consumer Privacy Act of 2018, as amended by the California Privacy Rights Act of 2020, and any legislation and/or regulation implementing or made pursuant to them, or which amends, replaces, re-enacts or consolidates any of them.
• "GDPR" means to the extent applicable: (i) Regulation (EU) 2016/679; and (ii) UK GDPR.
• "Intellectual Property Rights" means patents, utility models, rights to Inventions, copyright and neighbouring and related rights, moral rights, trademarks and service marks, business names and domain names, rights in get-up and trade dress, goodwill and the right to sue for passing off or unfair competition, rights in designs, rights in computer software, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets) and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.
• "Platform" has the meaning given to it in Section 1.2 above.
• "UK GDPR" means Regulation (EU) 2016/679 as applicable as part of UK domestic law by virtue of section 3 of the European Union (Withdrawal) Act 2018 and as amended by the Data Protection, Privacy and Electronic Communications (Amendments etc) (EU Exit) Regulations 2019 (as amended).
• "User" means anyone who registers for and/or accesses the Platform, either as a Creator, Supporter, or both.
• "Wish" or "Wishes" means a specific type of Content published by a Creator explicitly aimed at seeking financial support or moral encouragement (likes, comments) from the community.

Wishew allows Users to: (i) create an Account; (ii) publish Wishes, comments or other posts on the Platform; and (iii) interact with other Users through likes, comments, and shares; and financially contribute to other Users' in support of their Wishes.

Access to the Platform is free, though some features may require payment or involve fees (see Section 7).

Users are free to choose whether, if at all, to make a Support Payment and how much any such Support Payment is.

• You confirm and undertake that you will not use the Platform for any purpose that is unlawful or prohibited by these Terms.

• When you create an Account, you must provide accurate and truthful information in good faith and agree to keep your information updated if it changes.

• To create an Account, or otherwise use or access the Platform, you must be both: (i) at least 18 years old; and (ii) old enough to consent to the processing of your personal information according to the laws of your country.

• You must be at least 18 years old (or older if required by the law applicable to you) to make a Support Payment or to withdraw funds from the Platform.

• You are solely responsible for all activities that occur through your Account and for maintaining the confidentiality and security of your Account credentials. You must notify us immediately if you suspect your account security has been compromised.

• You may close your Account at any time. Wishew reserves the right to suspend or close the Accounts of Users that either violate these Terms or whose behaviour and / or Content are deemed inappropriate, at the sole and absolute discretion of Wishew.

Users may publish Posts and Wishes, provided they adhere to Platform rules.

Users may not publish Wishes, Posts, or perform actions on the Platform that include or promote:

• Illegal or fraudulent content, including scams and pyramid schemes.
• Dangerous or harmful activities, such as the sale of weapons, drugs, or counterfeit products.
• Sexually explicit or pornographic content.
• Promotion of hate, violence, or discrimination against any individual or group.
• Community Support for political activities or ideological extremism.
• Requests for money for personal debts.
• Misuse of the Platform to evade taxes or launder money.
• Anything which would be in breach of applicable law.
• Anything which Wishew, in its absolute discretion, considers unacceptable for publishing on the Platform.

Additionally, the following activities are strictly prohibited:

• Using bots, automated software, or scripts to interact with the Platform, including systems designed to artificially increase visibility, interactions, or traffic.
• Scraping and extracting data from Wishew through automated or manual tools without explicit authorization.
• Creating and managing multiple accounts to circumvent restrictions, simulate non-genuine activities, or alter Platform operations.
• Attempting to compromise the Platform's security, including hacking, unauthorized access, vulnerability testing, or any action intended to harm Wishew and its affiliates.

Wishew and its affiliates reserve the right to suspend or remove any content and take action against Users who violate these provisions, including account suspension and, if necessary, legal action.

Wishew allows Users to express Wishes aimed at enhancing their quality of life, excluding fundamental survival needs. Users may therefore publish Wishes related to:

• Personal and growth experiences (travel, courses, events, cultural or recreational activities).
• Aspirational products and valuable goods (creative tools, desired objects, hobby accessories).
• Development of personal or professional projects (content creation equipment, startup support, creative investments).
• Wellbeing and lifestyle (gym memberships, beauty treatments, lifestyle improvements).

Although Wishew deeply cares about these types of wishes, it currently does not have the necessary permissions / authorizations to facilitate, support and/or otherwise be involved or associated with community support related to fundamental survival needs. Therefore, it is not possible to publish Wishes from Users that are related to such needs, including without limitation:

• Medical expenses or essential healthcare treatments (surgery, life-saving treatments, medical devices).
• Support for primary needs (homeless shelter, food, rent, and utility payments).
• Community Support for humanitarian emergencies or natural disasters.
• Requests for money related to severe economic hardships (debts, bankruptcies, emergency legal expenses).
• Activities in relation to end-of-life.

Wishew employs advanced artificial intelligence systems alongside an internal review team to identify and block all Wishes related to unsupported causes.

By posting Content or Wishes on the Platform, you grant to Wishew an unlimited, irrevocable, perpetual, non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, promote, and distribute such materials both within and outside the Platform. Wishew has the right to display, publish, transmit, reformat, translate, store, and distribute the Content and Wishes across any channel, including social media, advertising campaigns, partner platforms, and promotional materials, aiming to highlight community stories and promote the growth of the Platform. Additionally, Wishew may modify, optimize, or combine Content and Wishes to integrate them into other projects such as documentaries, publications, events, or communication initiatives.

The User also hereby grants Wishew the right to monetize Content and Wishes through partnerships, sponsorships, and commercial collaborations, which may include licensing to brands, companies, or media entities interested in using certain materials for promotional, advertising, or research purposes. The User acknowledges they will not be entitled to compensation for the commercial use of their Content or Wishes by Wishew or third parties. This license also includes the right to use the User's name, profile picture, company name, or personal brand, if provided, in association with published Content (including any Wishes), to credit the User when a Wish is promoted in platform campaigns.

Wishew reserves the right to modify, reformat, move, or delete any Content or Wish if deemed necessary to ensure compliance with community guidelines or to enhance user experience on the platform. Although holding these rights, Wishew claims no ownership over the Content and Wishes published by Users, who maintain full ownership and associated intellectual property rights. However, by accepting these Terms, the User expressly waives any moral rights related to their Content and Wishes, agreeing that Wishew and its affiliates may use and modify them without prior approval or compensation of any kind.

The User is solely responsible for the Content, wishes, and interactions posted on Wishew and its affiliates. By publishing content on the Platform, the user represents and warrants they have all necessary rights to share such content and that it does not violate any laws, third-party rights, or these Terms.

Wishew and its affiliates are not responsible for Content published by Users and do not guarantee such Content is free from errors, rights violations, or harm to third parties. The User agrees to indemnify and hold harmless Wishew and its affiliates from any claims, damages, losses, or expenses arising from Content published or shared on the Platform. This includes, but is not limited to:

• Copyright violations or infringements of third-party intellectual property rights.
• Defamation, libel, or reputational damage.
• Misleading, fraudulent, or illegal content.
• Violations of privacy or Data Protection Legislation.
• Violation of any applicable laws.

Wishew reserves the right, but not the obligation, to moderate and remove content at its discretion if deemed inappropriate or contrary to these Terms and to suspend or remove Users from the Platform. Wishew further reserves the right to disclose your identity to any party claiming that content or information transmitted by you through, or uploaded by you to, the Platform constitutes a violation of intellectual property rights, privacy or Data Protection Legislation and/or any applicable laws.

Wishew reserves the right to remove any content that violates these Terms or is deemed inappropriate at its sole and absolute discretion.

Support Payments on Wishew are voluntary, secure, and protected, representing a direct gesture of support to the Content Creator and their Wish. Except for specific exceptions or as required by law, support payments are non-refundable. Each Support Payment expresses appreciation for the shared content and the Content Creator's project without implying an obligation for results or repayment.

All Support Payments made through Wishew, whether in support of individual Creators or accredited Foundations, are voluntary and final. They represent voluntary support provided by users to Creators in connection with content, wishes, projects, experiences, or personal goals shared on the Platform, and are not contingent upon the completion of a specific outcome or the exact use of funds described in a Wish.

Wishew does not guarantee the fulfillment of any Wish nor does it supervise or control how funds are ultimately used, unless there is a verified violation or fraud as defined below.

A Supporter may request a refund for a Support Payment made through Wishew (a "Refund") under the following conditions:

• Fraud or Unlawful Activity: The Wish, whether promoted by a Creator or a Foundation, was created or managed with fraudulent intent, or is associated with illegal activity such as impersonation, theft, embezzlement, money laundering, or other criminal conduct.
• Violation of Platform Terms: The Wish, regardless of the type of account, clearly breaches Wishew's Terms and Conditions, such as by raising funds for prohibited purposes, promoting hate or discrimination, or involving unsupported or misrepresented causes.

Requests will be evaluated individually and may require internal or third-party investigation. Wishew reserves the right to deny refunds if insufficient evidence is provided.

Wishew will review each Refund request on a case-by-case basis and reserves the right, at its sole discretion, to determine if a Refund is justified. Exclusions from the Refund Policy are set out below, but Wishew reserves the right to modify these exclusions at its absolute discretion.

Refund requests cannot be accepted under the following circumstances:

• If the refund request is submitted more than 120 days after the date of the support payment.
• If the Content Creator independently utilized the funds in a personal manner compatible with Wishew's philosophy.
• If the Wish did not reach its financial goal, but the support payments received were still used for the User's personal experiences or purchases.
• If the Supporter provided support to their own Wish.
• If the Support Payment has already been subject to a chargeback or dispute through the payment method.
• If abusive, excessive (more than three requests in one month), or fraudulent requests are submitted.

To request a Refund, the Supporter must meet the following conditions:

• Still have possession of the original payment method used for the support payment and be able to receive the Refund to the same payment source.
• Not in any way encouraged, participated in, or induced misuse or abuse of the Wish.
• Fully complete the Refund request providing all required information for evaluation.

By submitting a Refund request, the Supporter agrees to fully cooperate with Wishew in any related investigations, including those conducted by relevant authorities. Additionally, the Supporter must inform Wishew if they receive communications or funds from the Content Creator or the beneficiary of the Wish in question.

To submit a refund request, the Supporter must send an email to support@wishew.com including the following information:

• Full legal name
• Country of residence and phone number
• Email address used on Wishew
• Direct link to the Wish (whether personal or promoted by a foundation)
• Detailed explanation of the concern and why a refund is being requested
• Supporting documentation or evidence, if available

Incomplete requests will not be considered. Submitting a request does not guarantee approval. Supporters agree to fully cooperate in any internal investigation initiated by Wishew or its partners.

Wishew reserves the right to suspend, limit, or permanently disable accounts -including those of Creators and Foundations- that engage in fraud, repeated violations, or non-transparent practices. Where required, Wishew will cooperate with regulatory authorities or law enforcement.

Supporters submitting abusive or fraudulent refund claims may face temporary or permanent suspension from the Platform.

Wishew is committed to ensuring funds are directed to real and verified individuals. For this purpose, Content Creators may be required to complete an identity verification process before accessing certain features or withdrawing collected funds.

Where identity verification requirements are not satisfied, Wishew and/or its payment providers may delay, suspend, restrict, reverse, or otherwise take appropriate action with respect to the relevant withdrawal, transaction, or account activity in accordance with applicable law, payment provider requirements, and platform policies.

This helps promote a safer environment for the community and supports the integrity of the Platform.

Users are responsible for providing accurate transaction information. Wishew is not liable for payment errors resulting from incorrect information provided by the User.

Wishew does not hold or manage any support payments received on the Platform, nor does it process payments directly. Instead, Wishew relies on certified and licensed third-party payment processors to handle and process all Support Payments associated with Wishes. For any transfer of funds related to a Wish, Users must provide their banking or financial information directly to our selected third-party payment processor. Wishew uses certified third-party payment processors for the management and disbursement of funds on the Platform. Current processors may include Coinflow Labs and others, which provide integrated services for payment authorization, KYC verification, fraud prevention, and regulatory compliance.

By making a Support Payment, creating a Wish, or withdrawing funds, Users agree to comply with Coinflow's terms and conditions, and the collection, processing, transfer, and disclosure of their data by Coinflow in accordance with Coinflow's privacy policy, available here.

Users further acknowledge and accept that:

• All transactions on the Platform are subject to Coinflow's terms of service (available here) and applicable local regulations.
• Wishew is not responsible for any delays, errors, or failed payments caused by Coinflow or related banking institutions.
• Any issues, disputes, chargebacks, or inquiries related to payment processing must be addressed directly with Coinflow.

For further details on how Wishew handles personal information in connection with Coinflow and other processors, please refer to our Privacy Policy.

Where Wishew (or any of its companies) utilises any other payment processors it will update these Terms.

Wishew receives 10% of the funds withdrawn from each Wish (the "Fee") to ensure optimal Platform operation, invest in transaction security, continuously improve User experience, and implement advanced technologies that enhance Wishew's efficiency, accessibility, and innovation. The Fee enables us to provide a secure environment, enhance visibility tools for Wishes, and ensure every Support Payment is handled with maximum transparency and reliability.

In addition to the Fee, third-party charges may apply, particularly:

• Currency conversion fees → If the withdrawal is conducted in a currency different from the one in which funds were raised, conversion costs are the User's responsibility.
• Bank or payment processing fees → Some banks or payment providers may apply additional fees for processing transactions. These fees remain the sole responsibility of the User.

Wishew does not add any surcharge on these transactions and has no control over any third-party fees.

Requests for withdrawal of funds collected through a Wish are generally processed within 3-7 business days. However, processing time may be extended in the following cases:

• Security verifications → If the system detects suspicious activity or requires further checks to ensure account protection.
• Regulatory checks → If mandated by local or international regulations regarding payment handling.
• Banking procedures → Certain financial institutions may require additional time to complete fund transfers.

Wishew is committed to processing payments promptly, adopting security measures to protect both Content Creators and Supporters.

To ensure the security of the Platform and User protection, Wishew reserves the right to block, suspend, or cancel a payment under the following circumstances:

• Suspicion of fraudulent activity or violation of these Terms → If a payment or Wish shows signs of abuse, fraud, or behaviors not compliant with Wishew's rules, the operation may be suspended pending verification.
• Chargeback request initiated through the payment method → If a Supporter initiates a dispute or chargeback through their financial institution or payment method, the associated amount may be blocked or refunded until resolution.
• Ongoing investigations regarding a User or a Wish → If an internal or external investigation concerning a Content Creator or Wish is ongoing, Wishew may temporarily suspend access to funds until the investigation concludes.
• Identity Verification, Compliance, and Risk Reviews → Wishew may delay, suspend, restrict, or cancel access to certain features, withdrawals, support payments, or account activity where additional identity verification, fraud prevention checks, sanctions screening, compliance reviews, or information requests are required by Wishew, its payment processors, banking partners, card networks, or competent authorities.

In the event of a blocked or reversed payment, Wishew will inform the involved User and, whenever possible, provide guidance on necessary actions to resolve the situation.

Users may be required to provide additional information or documentation to verify their identity, ownership of payment methods, source of funds, or compliance with applicable laws and platform requirements. Failure to provide requested information may result in delays, restrictions, suspension of withdrawals, or account termination.

Wishew monitors published content to ensure compliance with community guidelines. However, we cannot guarantee preventive control of all Content.

Users may report Content that violates rules via the reporting system available on the Platform.

Wishew may implement the following measures against Users violating these Terms:

• Formal warnings and reprimands.
• Removal of offensive content.
• Temporary or permanent account suspension.
• Blocking of suspicious withdrawals or transactions.

Decisions made by Wishew regarding moderation are final and not subject to appeal.

Wishew uses automated systems to: (i) analyze content and moderate the Platform; (ii) suggest personalized content to Users; and (iii) enhance User experience on the Platform.

Despite the use of advanced technologies, decisions made by AI may not always be perfect. Wishew is not responsible for errors made by automated moderation.

Wishew is provided "as is" and "as available," without any explicit or implied warranties regarding:

• Uninterrupted operation → We cannot guarantee that the Platform will always be available or free from interruptions.
• Absolute security → While we implement advanced protective measures, we cannot guarantee total protection from vulnerabilities, unauthorized access, or cyber-attacks, including viruses, malware, or other cybersecurity threats.
• Error-free operation → The service may contain bugs, temporary malfunctions, or technical issues that could affect the User's experience.

The User acknowledges that use of the Platform is at their own risk, without any warranty of results, performance, or suitability for specific needs. Wishew does not guarantee or endorse any third-party products, services, or content published on the Platform or through external links.

To the fullest extent permitted by law, Wishew and its affiliates excludes all liability for:

• Economic losses → Including loss of profits, opportunities, or financial damages resulting from use of the Platform.
• Fraudulent or illegal actions by other Users → Wishew is not responsible for misconduct, scams, or abuse committed by Users of the Platform.
• Service interruptions or technical errors → Including malfunctions, bugs, delayed payments, data loss, or technical issues affecting the User's experience.
• Content published by Users → Wishew is not responsible for the quality, accuracy, or truthfulness of Content shared by Content Creators or other Users.
• Use of third-party services → Wishew is not responsible for damages arising from external services, hyperlinks, advertisements, or third-party payment platforms linked to the Platform.

Nothing in this Section 10.2 shall exclude or limit Wishew's liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

The User acknowledges that Wishew's liability, if applicable, shall never exceed the total amount of any Fees retained by Wishew from support payments received by the User within the 12 months preceding the relevant event in connection with which any liability has arisen.

Wishew and its affiliates reserve the right to suspend, limit, or discontinue access to the Platform or certain services, fully or partially, at any time and without notice, under the following circumstances:

• Required routine or emergency maintenance of the Platform.
• Security updates or implementation of new features.
• Unexpected technical issues or system failures.
• Violation by the User of these Terms or applicable laws.
• Emergency situations, security threats, or legal requests from competent authorities.

Wishew will not be liable for any damages, data loss, or interruptions resulting from such suspensions. The User agrees that Wishew may implement these measures to ensure the Platform's security and proper functioning.

To the fullest extent permitted by applicable law, the User agrees to indemnify, defend, and hold harmless Wishew and its affiliates (including its or their officers, employees, directors, and agents) from any claims, damages, costs, or expenses arising from:

• Use of the Platform and Services → Including published Content, interactions with other Users, and Support Payments made or received.
• Breach of these Terms → Including violations of local or international laws or third-party rights.
• Disputes with other Users → Any conflict between Users is solely the responsibility of the involved parties.
• Damages caused to third parties → The User agrees to reimburse Wishew for any losses resulting from violations of other Users' rights or those of third parties.
• Legal fees and defense costs → Should Wishew become involved in legal disputes on behalf of the User, the User agrees to cover the costs of such defence (including reasonable legal fees).

Wishew reserves the right to defend itself in any legal proceeding, and the User agrees to cooperate fully with Wishew in managing any claims or judicial proceedings.

If you are a resident of California, you hereby waive any and all rights under Section 1542 of the California Civil Code, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in their favor at the time of executing the release and that, if known by them, would have materially affected their settlement with the debtor or released party."

If you reside in another jurisdiction (within the United States or abroad), you hereby waive any comparable statute or doctrine to the extent permitted by applicable law.

These Terms and any dispute arising out of or in connection with your use of the Services are governed by the laws of England & Wales subject to any more favourable public policy provisions under your local law.

Subject to the remainder of this Section 11.2, the courts of England & Wales have exclusive jurisdiction, except to the extent that public policy provision under your local law allows for the competence of your local courts.

• Users In The European Union, Norway, Iceland Or Liechtenstein: You have the right to submit all unresolved disputes between you and Wishew to the Online Dispute Resolution platform (ODR) arbitration administered by the European Union: https://ec.europa.eu/consumers/odr/main/?event=main.home.howitworks then in effect, except that either party may seek injunctive relief for infringement of intellectual property rights or other proprietary rights, in court and that claim brought under the EU or UK General Data Protection Regulations may be resolved locally in court or by referral to a competent privacy regulator.
• Disputes with other Users: You agree that you are solely responsible for your interactions with any other User in connection with the Platform and neither Wishew nor its Affiliates will have any liability or responsibility with respect thereto. Wishew and its affiliates reserve the right, but have no obligation, to become involved in any way with disputes between you and any other User of the Services.

Wishew may periodically update these Terms from time to time. Changes become effective upon publication.

The User hereby agrees that its continued use of the Platform after changes become effective constitutes valid acceptance of the updated Terms.

Wishew may make a version of these Terms available in additional languages. These additional language versions are provided for convenience only and in the event of discrepancies or conflicts, the English version of these Terms shall prevail.

All content provided on the the Platform, excluding User-generated Content, including but not limited to texts, graphics, logos, images, software, design, layout, look, appearance and underlying source code, is the exclusive property of Wishew and its affiliates or their licensors. All Intellectual Property Rights associated with such content, including without limitation, copyright, trademarks, service marks, patents and trade secrets, are owned by or licensed exclusively to Wishew and its affiliates.

The Platform is copyright-protected with all rights reserved. You agree not to reproduce, copy, modify, distribute, publish, display, perform, transmit, license, create derivative works from, transfer, or sell any information or content obtained from or through the Platform, or otherwise use, exploit or benefit from any of Wishew's Intellectual Property Rights without the prior express written consent of Wishew. Other than as expressly provided in these Terms, nothing will be construed as inferring by implication or otherwise any license or right under any copyright, trademark, database right or other intellectual property or proprietary interest of us, our licensors or any third party.

Any unauthorized use will be considered a violation of intellectual property rights and may result in legal consequences.

Wishew's Intellectual Property Rights, including, without limitation, its name, logo, and all associated trademarks and distinctive signs are protected. Unauthorized use of such Intellectual Property Rights is prohibited and may lead to legal action.

Wishew and its affiliates reserve the right to take immediate legal actions against violations of these Terms, including, without limitation, the following actions:

• Suspension or banning of the offending User's account.
• Immediate removal of Content.
• Initiating legal proceedings to enforce its Intellectual Property Rights.

Wishew is committed to protecting its Intellectual Property Rights in all applicable jurisdictions.

These Terms constitute the entire agreement between the User and Wishew. Any other terms and conditions are hereby expressly excluded.

If any provision of these Terms is deemed invalid, the remaining provisions remain fully effective.

These Terms apply to any Wish, transaction or other activity relating to the Wishew Platform. Unless otherwise specified Wishew Ltd shall be the contracting party. Wishew reserves the right to specify which Wishew company is the contracting party for the purposes of any transaction.

Wishew reserves the right to nominate any Wishew company to be the contracting entity in respect of any particular countries or transactions, and will advise accordingly.
